This website (this “Site”) is owned and operated by United Arrows Ltd., 28-1, Jingu-mae 3-chome, Shibuya-ku, Tokyo, Japan (“we” or “us”).

These TERMS AND CONDITIONS OF SALE (these “Terms and Conditions”) shall be applied to your use of this Site, and any and all purchase orders that you place on this Site. Please read these Terms and Conditions carefully before placing a purchase order on this Site, and only use this Site if you agree hereto.

Changes to these Terms and Conditions

These Terms and Conditions may be amended from time to time; however, any changes made hereto will not affect orders you have already placed. Each time you use this Site, you are required to read these Terms and Conditions carefully and ensure that you understand the terms and conditions in effect at that time.

Minors

This Site is intended for a general audience. If a minor is to use This Site and provides personal data, the minor must do so with the consent of his/her guardian. If you are a minor, you represent and warrant that you are using the Service with the consent of your guardian.

Membership Registration

You may register as a member in order to receive our membership service.

Prices

The prices displayed on this Site are the prices of the products themselves, and do not include shipping costs, taxes, customs duties or any other charges. The price in your local currency displayed on this Site is a non-binding reference price based on the exchange rate on the day of viewing. The actual price is the price in Japanese Yen (JPY) displayed on this Site or written on the acceptance e-mail subsequently sent by us (as described below), and the actual exchange rate will be determined depending on your payment method. Shipment to countries outside of Japan may be subject to taxes, customs duties and fees levied by the destination country (“Import Fees”). The recipient of the shipment is the importer of record in the destination country and is responsible for all Import Fees.

Placing a Purchase Order on this Site

When you place an order on this Site, you will receive an e-mail confirming your order details. Please note that this e-mail does not mean that your order has been accepted, and we reserve the option to decline any order placed by you for any reason, including, without limitation, the following:
(i) If you are or have been in breach of these Terms and Conditions;
(ii) If there is any missing or false information in the data you provide to us;
(iii) If we deem that you are placing an order for the purpose of resale or any other inappropriate purposes;
(iv) If we deem that you are a member of any anti-social forces (organized crime groups, mafia, yakuza, any organization acting against the social order, or any other similar organizations; “Anti-Social Forces”), or are in cooperation with or involved in the maintenance, operation or management of any Anti-Social Forces; or
(v) If there are any other reasons under which we deem it inappropriate for you to use this Site.

Inventory Status

All items are subject to inventory availability. If the item you ordered is out of stock, we will notify you as soon as possible after confirming the inventory status.

Order Acceptance

We will send you an e-mail when we confirm the completed payment for the items. Your order will be accepted and the contract between you and us regarding the ordered product will be executed when we send such an e-mail to your designated email address. If your payment is not completed within seven (7) days after you make your order, including, without limitation, if your payment method is declined for your order, the order will be canceled. If you still wish to purchase the item, you will need to place another order with a valid payment method.

Payment

You will make payment of the order price using the payment method specified on the order screen.

Cancellation

If your order has not been packed yet, you can cancel your order and get a full refund. If you wish to cancel your order, please contact us as soon as possible, using the contact details shown at the end of these Terms and Conditions. If your order is already packed, you can no longer cancel it, but you can return the item at your own cost. The original shipping cost (if applicable) will not be refunded unless the return is due to our negligence. Please see the Returns and Refunds sections below for return instructions. Personalized, customized, or custom-made items cannot be cancelled, regardless of whether they have been packed or shipped.

Returns

We accept returns within 30 days from the delivery of the product. After such period, we can no longer refund or replace the product. To qualify for a return, the item must be unused and in the same condition as when delivered. In addition, the original packaging must be retained.

Replacements

We will only provide replacements if the product is originally defective or damaged, and replacement is only acceptable if the product is found to be damaged on arrival or is found to be defective within ten (10) days after the product delivery. Please note that a product is not considered defective or damaged in the event that it has some unavoidable wear and tear from the manufacturing and shipping process. Requests for replacement will be invalid after the elapse of ten (10) days from the product delivery. If you wish to replace a product, please send us a photo of the defects or damage to the contact point provided at the end of these Terms and Conditions. When we confirm that the product qualifies for replacement, we will either refund or replace it. Please note that we will only refund your money if we are unable to replace the product due to discontinuation or suspension of production. We will bear the shipping, tax, customs duty, and other charges for return and redistribution for replacements.

Refunds

After we receive the returned product, we will send you an e-mail notifying you that we have received it. We will also notify you of our approval or refusal of the refund request after we have inspected the returned product. If approved, the refund will be automatically processed to your credit card or other payment method within a certain number of days. Unless the refund is caused by defects or damage attributable to us, only the price of the product will be refunded, and shipping charges will not be refunded. In addition, taxes, customs duties, and other charges paid at the time of order are not refundable. Since it may take some time for the refund to be processed, please check your bank account regularly and contact the credit card company if you do not see the refund.

Limitation of Liability

Our liability for loss incurred by you due to our breach of these Terms and Conditions is limited to the purchase price of the products you purchased, unless such breach results from our willful misconduct or gross negligence.

Limitations on the Items

Please note that the items on this Site may not be optimized for sale in your country. Any manufacturer warranty may not be valid, manufacturer service options may not be available, product manuals, instructions and safety warnings may not be in destination country languages, the items (and accompanying materials) may not be designed in accordance with destination country standards, specifications, and labeling requirements, and the items may not conform to destination country voltage and other electrical standards (requiring use of an adapter or converter if appropriate). You are solely responsible for assuring that the items can be lawfully imported to the destination country. When ordering from this Site, the recipient is the importer of record and must comply with all applicable laws and regulations (including the laws and regulations of the destination country). You are solely responsible for assuring that an export permit is not required under the Foreign Exchange and Foreign Trade Control Law in Japan.

Limitation of Liability

Although we will do our best to improve our systems so that you can use this Site comfortably, we shall not be liable for any damage caused by technical issues with communication lines or the computer systems managing this Site.

All rights and interests in and to this Site (including copyrights and licenses), belong to us. It is strictly prohibited to use any part of this Site for any reason (including, without limitation, by copying its contents), without our prior written permission.

Accuracy of Content

Although we strive to ensure that the product descriptions and specifications on this Site are accurate at all times, since the color of the product on your screen is dependent on your system, we do not take any responsibility for any changes in color variations caused by your browser software or other computer system. Please understand before placing orders that the product description regarding the colors of the items on this Site may differ from the actual items.To the extent permitted by applicable law, we make no warranty, express or implied, as to the accuracy of the information contained in the materials on this Site, and we shall not be liable for any loss or damage arising from the information contained in the materials on this Site.

Suspension

Please note that we may suspend this Site, in whole or in part, or cease its operation from time to time, without any prior notice to you, for the following reasons. In no event we will be liable for any damage incurred by you due to such suspension or cessation of this Site.
(i) Maintenance or repair services of this Site;
(ii) Concentrated access or any other system overload;
(iii) Security breach events;
(iv) Outage of telecommunication services;
(v) Earthquakes, volcanic eruptions, floods, tsunamis or any other Acts of God or force majeure events;
(vi) Inability to operate this Site due to fire, power outage or any other unforeseen accidents, or wars, conflicts, coups, riots, labor disputes or any other similar reasons;

Severability

If any part of these Terms and Conditions is found to be unlawful, void or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of the remaining provisions.

Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, and any and all disputes arising out of or in connection herewith shall be subject to the exclusive jurisdiction of the Tokyo District Court in the first instance.

Entire Agreement

With respect to the subject matter of any contract with you, we rely on these Terms and Conditions and any other documents specifically mentioned herein (including the acceptance e-mail described above), which supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
